Michael S. Quillinan
Mike has been an associate with Abbey, Weitzenberg, Warren & Emery, P.C. since 2007. He specializes in transactional real estate and general corporate
work, representing financial institutions and a variety of businesses. Before joining the firm he was a business associate in the Palo Alto office of
Cooley LLP, where his practice focused on emerging companies, general corporate and securities law.
Bank Counsel/Real Estate Transactions
Mike represents institutional lenders as outside counsel in connection with all aspects of commercial real property secured transactions, including
the purchase and sale of real and personal property collateral, negotiation and documentation of loan transactions, complex loan workouts, negotiation
and preparation of participation agreements and advising regarding bank foreclosure practices.
General Corporate Counsel
Mike also provides general corporate counseling to a number of businesses, from startups to emerging and large companies. As outside general counsel
for these companies, he works with business owners and senior executives on all aspects of business and corporate matters, including the formation,
governance and dissolution of business entities and the review and documentation of routine and complex business and commercial contracts. His practice
includes analyzing, negotiating and preparing asset, stock and membership interest purchase and sale agreements, partnership agreements, buy-sell
agreements, real property purchase and sale agreements, distribution and supply agreements, leases and licensing agreements. He has represented companies
and owners in numerous stock and asset acquisitions and divestitures and other complex business and commercial transactions.
Non-Profit Corporation Counsel
Mike also represents non-profit corporations as outside counsel. Among other matters, he advises clients regarding formation, governance and
application for 501(c)(3) tax exempt status.
Estate Planning Counsel
Mike’s practice also includes estate planning. He counsels clients regarding wills, trusts and incapacity planning. In addition, for clients with
disabilities, he prepares special needs trusts.
