Trevor M. Codington
Trevor is a partner of the firm. He has been with Abbey, Weitzenberg, Warren & Emery, P.C. since 2012. He specializes in transactional finance, real estate, and general corporate work. Before joining the firm he was a real estate associate in the San Francisco offices of Cox, Castle & Nicholson LLP, where his practice focused on representing borrowers and lenders in financing transactions, and Buchalter Nemer, where his practice focused on all aspects of real estate.
Bank Counsel/Finance Transactions
Trevor represents institutional lenders as outside counsel in connection with all aspects of commercial real property secured transactions, including the negotiation and documentation of loan transactions (including bridge and mezzanine financing, A/B structured loan transactions and construction loans), complex loan workouts, negotiation and preparation of participation agreements and advising regarding bank foreclosure practices. Trevor’s expertise extends to the purchase and sale of distressed performing and non-performing loans and loan portfolios.
Real Estate Transactions
Trevor represents real estate developers, investors, and owners in complex real estate transactions, particularly, the acquisition, development, and disposition of commercial and residential real estate. In this capacity, he has experience negotiating and drafting purchase and sale agreements, option agreements, construction contracts, easement agreements, and various other real estate related documents. Trevor also has significant experience representing national and regional owners, investors and asset and property managers of office, hotel, industrial and retail properties in connection with leasing, lease administration and other matters arising out of day-to-day property ownership, operation, and management.
General Corporate Counsel
Trevor also provides general corporate counseling to a number of businesses, from startups to emerging and large companies. As outside general counsel for these companies, he works with business owners and senior executives on all aspects of business and corporate matters, including the formation, governance and dissolution of business entities and the review and documentation of routine and complex business and commercial contracts. His practice includes analyzing, negotiating and preparing asset, stock, and membership interest purchase and sale agreements, partnership agreements, buy-sell agreements, real property purchase and sale agreements, leases and licensing agreements. He has represented companies and owners in numerous stock and asset acquisitions and divestitures and other complex business and commercial transactions.
